A change in the composition of the Capgemini Board of Directors has been proposed to the 2023 General Meeting
Paris, March 16, 2023 – On March 16, 2023, the Board of Directors deliberated, on the report of the Ethics and Governance Committee, on the change in its composition to be proposed to the next general meeting on May 16, 2023.
On the occasion of the 2023 General Meeting, the Board of Directors proposes the appointment of Ms. Megan Clarkin and Ms. Ulrika Ferne as members of the Board of Directors for a period of four years. These proposals respond to the group’s ambition to enrich the diversity of its features, especially in terms of internationalization, and to deepen its expertise in the sector.
Mrs. Megan Clarkin holds New Zealand citizenship chief executive officer global technology company. Throughout her career, she has gained strong expertise in technology, data and digital transformation as well as experience in the media and retail sectors. She will also bring to the Board her skills in terms of inclusion and diversity as well as her knowledge of the markets in the US and Asia Pacific.
A Swedish national, Ulrica Fearn has gained solid financial experience throughout her career with multiple positions within major international companies in sectors that depend on technology for their sustainable transformation (energy, telecoms, consumer goods and trade).
The Board of Directors considers Ms. Megan Clarkin and Ms. Ulrika Verne to be independent with respect to the AFEP-MEDEF Code standards to which the Company refers.
Ms. Xiaoqun Clever expressed her wish not to renew her mandate. Following a change in her responsibilities within Bosch, Ms. Tanja Roekert has decided to retire from the Board of Directors, effective at the end of the general meeting on May 16, 2023.
The Board of Directors warmly thanked Ms. Cleaver and Ms. Rueckert for their contributions to the work of the Board and its committees during their terms of office.
And assuming that the General Assembly on May 16, 2023 approves these decisions, the composition of the Board of Directors will be 15 directors, including two members of the Board of Directors representing the employees and one director representing the shareholders from among the employees. Its members will include 83% of independent directors140% of managers have an international profile and 42% are women 1.

Ms. Verne, a Swedish national, holds a master’s degree in commerce and finance from Halmstad University (Sweden).
